Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2023, Michael Racusin provided Silver Star Properties REIT, Inc. (the “Company”) with notice of his intent to resign from his position as Senior Vice President, General Counsel, and Corporate Secretary of the Company to pursue another opportunity, effective as of January 5, 2024. Mr. Racusin’s resignation is not a result of any disagreement with the Company or its board of directors or any matter relating to the Company’s operations, policies or practices.

On December 22, 2023, Mr. Racusin was appointed and has agreed to serve as an advisory director to the Company’s Board of Directors (the “Board”). There is no arrangement or understanding with any person pursuant to which Mr. Racusin was appointed as an advisory director to the Board. Mr. Racusin shall receive annual compensation of $36,000 for his role as an advisory director.

The Company is currently engaged in the process of finalizing the appointment of Mr. Racusin’s successor as General Counsel and Corporate Secretary.
