Item 8.01. Other Events.

On November 28, 2022, Lee M. Elman, member of the board of directors of Healthcare Trust, Inc. (the “Company”), passed away. Mr. Elman, an independent director, served as a member of Audit Committee of the Company’s Board of Directors and the Nominating and Corporate Governance Committee at the time of his passing.

Mr. Elman will be missed by the Company and the Directors with whom he served. His decades of real estate experience, his commitment to shareholders and his dedication to the Company made him a valued member of the Board. He has left an indelible mark on all those with whom he interacted.
