Item 8.01 Other Events.

Silver Star Properties REIT, Inc. (the “Company”) is filing this Current Report on Form 8-K to update certain information previously disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on November 22, 2023.

The Company has learned that the SEC has issued a Formal Order of Investigation, and on February 2, 2024, the SEC’s Fort Worth Regional Office advised the Company that the SEC would be issuing a subpoena to the Company requesting the production of certain documents. The Company has not yet received the subject subpoena. Upon receipt of the subpoena, the Company will use good faith efforts to assess the same.

The Company is unable to predict, what action, if any, might be taken in the future by the SEC or any other governmental authority with respect to or as a result of the subpoena. The SEC has authority to, and there can be no assurance that the SEC will not, commence an enforcement action against the Company or members of our management, nor can there be any assurance regarding the ultimate resolution of any enforcement action that the SEC may decide to bring. Under applicable law, the SEC has the ability to impose significant sanctions on companies and individuals who are found to have violated the provisions of applicable federal securities laws, including cease and desist orders, civil money penalties, and barring individuals from serving as directors or officers of public companies.
